Bailey morris acquired by indutrade

Benchmark International has advised on the successful sale of Bailey Morris Limited to Indutrade for an undisclosed sum, the second acquisition of a Benchmark International-advised company by Indutrade within 12 months.

Established in 1977, Cambridgeshire-based Bailey Morris is one of the leading propshaft manufacturers and component distributors in the UK, serving customers across 40 countries. Major customer segments for the company are commercial vehicle, specialist automotive, off highway and industrial applications.

Swedish-based conglomerate Indutrade is a group of over 200 companies operating across 26 countries. Indutrade markets and sells components, systems and services with high-tech content within selected niches.

The group is organised into five business areas; engineering & equipment, flow technology, fluids & mechanical solutions, industrial components and special products. Indutrade’s sales totaled SEK 8,831 million in 2013, generating operating income of SEK 990 million before depreciation of intangible assets. Indutrade is listed on the Nasdaq OMX Stockholm.

The opportunity to acquire Bailey Morris proved a hugely attractive proposition, generating 112 expressions of interest. Seven advanced meetings with interested parties took place with a variety of acquirer types including; private equity firms, trade organisations and high net worth individuals. Five firm offers were placed and Indutrade were identified as not only offering the best solution for the shareholders but also for the company moving forward.
